Contract approval: How to avoid the hidden legal “traps”?

In commercial activities, contracts are the ultimate blueprint of the rights and obligations of both parties. However, because contracts are often lengthy and full of legal terminology, it is difficult for ordinary people to identify the hidden trap clauses in a short period of time. The use of smart screening tools for preliminary audits is an effective means of reducing risk in modern business decisions.

Focus on the “inequality” clause

Many contracts often contain provisions that are biased towards the drafting party. For example:

  • Infinite liability: The “full liability” in the articles and the absence of a clear ceiling on compensation could lead to a devastating blow to the business in the event of default.
  • Unilateral discharge: The granting of “termination at any time without cause” to one party, while the other party must give notice several months in advance, creates considerable operational uncertainty.
  • The unilateral right to modify: The drafter reserves the right to modify the agreement at any time without your consent.

2. Integrity of core provisions

A qualified contract must have a “four-pillared eight-pillar”. The contract is highly susceptible to deadlock in its implementation if the following clauses are missing:

  • Dispute resolution: In case of conflict, go to court or arbitrate? What city is it? If there is no agreement, the costs of the proceedings will rise in a straight line.
  • Liability for non-compliance: (c) Clarify the calculation of the default money, increasing the cost of default for the other party.
  • Force majeure: How can responsibility be exonerated fairly in the face of extremes such as natural disasters and wars?

3. Intellectual property rights and confidentiality obligations

For a technology-based enterprise or creative industry, the intellectual property (IP) attribution in contracts is of the utmost importance. It is important to confirm whether the development results are “belonged to the client” or “authorized for the client”. At the same time, confidentiality clauses should cover reasonable periods of time after termination of the contract (usually 3-5 years).

Limitations of smart checkers

This tool is scanned based on predefined keywords and legal logic libraries, capable of capturing 80% effectively and the common risk point. However, the complexity of legal issues often lies in the logic of context. Smart tools cannot replace practising lawyers. We suggest that you consult law experts in depth on the basis of first-instance tools when dealing with large transactions or long-term strategic contracts.
